SmartBiz Loans has secured conditional approval to transform CenTrust Bank, N.A., into SmartBiz Bank, N.A. This strategic move enables SmartBiz to operate as a nationally chartered bank, expanding its small business lending services across the United States.
Following its acquisition of CenTrust Bank, based in Northbrook, Illinois, SmartBiz will now focus on nationwide small business lending, leveraging its digital platform to increase access to financial services for entrepreneurs.
Regulators emphasized that this conditional approval reflects the ongoing modernization of the banking system, where safe and sound fintech models can coexist with traditional financial institutions. The move is intended to support innovation while ensuring strong consumer protections and regulatory compliance.
As part of the approval, SmartBiz Bank is subject to several key conditions:
Business Plan Adherence: The bank must notify regulators before making significant changes to its approved business plan.
Capital Requirements: The bank must maintain a minimum tier 1 leverage ratio of 11.0% during its first three years of operation.
Capital Injection: A $6 million capital injection from the parent company is required immediately following the transaction.
Executive and Director Oversight: Any new executive officers or directors during the first two years must be approved in advance.
Community Reinvestment Act (CRA) Plan: The bank must submit a draft CRA Strategic Plan shortly after closing and finalize it within a year.
Compliance Obligations: The institution must meet all commitments and representations made during the chartering process.
By obtaining a national charter, SmartBiz simplifies its regulatory landscape, moving away from state-by-state compliance to a unified federal framework.
